Non-disclosure agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is crafted on creation date, and it brings together the following parties: 1st Party: legal name A ("1st Party"), with a mailing address of email address A, and 2nd Party: legal name B ("2nd Party"), with a mailing address of email address B.

The Parties hereby enter into a Confidential Information Agreement with the following content:

1. The Parties agree that "Confidential Information" means any information identified by the Discloser as confidential. This includes any information, source code, knowledge, know-how, financial, commercial, technical, operational, public relations, research, analysis, development, business plans, clients, and partners, as well as all others except those that are expressly stated to be non-confidential at the time of disclosure to the Recipient. In the event that the disclosure of information is made in an unspecified manner regarding its confidentiality, it is assumed to be Confidential Information. The Discloser agrees to provide Confidential Information solely in connection with the fulfillment of the Purpose/Project. Therefore, the Parties agree that regardless of whether the Purpose/Project is fulfilled or abandoned for any reason, the Recipient will not use the confidential information provided by the Discloser.
2. The Recipient undertakes and acknowledges that any Confidential Information disclosed by the Discloser will be kept in complete secrecy and confidentiality. They will be used solely for the purposes related to the fulfillment of the Purpose/Project and will not be disclosed to any third party without the explicit, prior written consent of the Discloser.
